Junior Corporate Counsel The candidate reports to General Counsel to work for an in-house legal department. As a Corporate Counsel, will gain excellent, diverse experience working for a market-leading, global software company. On the same day, may work with outside counsel in the UK, a prestigious U.S. university, employees in France, and a large distributor in Asia, while also working closely with our internal development, product management, finance, and executive staff. Key part of the legal team with significant exposure to management of the Company as well as various operational aspects of the business. Provide legal counsel to Company management, particularly on all issues involving customer contracts. Draft and maintain boilerplate legal documents. Manage all customer contract processes. Responsible for contract origination, review, negotiation, compliance and archiving. Ensure contracts comply with company guidelines. Review and analyze RFP terms for legal issues. Manage negotiation of contracts for foreign subsidiaries. Manage and work with company s outside counsel as necessary on various issues. Assist in resolving disputes. Provide any other legal services as required by the company. Provide assistance to General Counsel as assigned. Assistance may include employment matters, leases, export issues, contract negotiation, vendor contracts, data privacy, international law, intellectual property, and litigation management. The candidate should have J.D. with excellent academic credentials. This is an entry-level position, but exposure to technology (including software) law and experience with general corporate law and governance is helpful. 6+ months of quality law firm or in-house experience preferred. 6+months of experience in software industry preferred. Should have ability to quickly and accurately identify legal and business issues and risks. Must have excellent oral and written communication skills including the ability to communicate concisely. should have ability to self-motivate, problem solve, work under deadline and produce a high-volume of work. Must have excellent interpersonal skills and ability to work on a team without ego, drama or personal politics. Ability to comfortably interact with senior management to assess contractual risks and go-forward strategies is required. Should have excellent negotiation skills.
