Senior Corporate Counsel The candidate will review legal documents, provides legal advice to management and works with outside counsel. With advice from the General Counsel and outside law firms, reviews and negotiate contracts and other legal documents to ensure that contract and other documents meet business objectives and appropriately address legal issues. Provides legal advice on operational issues such as powers of attorney, UCC issues, etc. Outsource legal questions and contracts to outside counsel when in-house resources are insufficient. Assembles facts and communicates with other associates to gather information and advice from the General Counsel, when appropriate. Keep contract logs and performs related administrative tasks. Handle miscellaneous legal matters as assigned by the General Counsel. May be responsible for managing litigation involving the company by working with bank associates and outside law firms. Perform all other duties as assigned. Supervisory responsibilities are limited to managing outside counsel and paralegals as appropriate.

The candidate should have a Juris Doctorate degree. Must have successfully passed State Bar Examination. At least seven(7) years of experience in either litigation or contract review preferred. Must possess a high level of analytical ability. Strong organizational and time management skills required. Excellent verbal and written communication skills required for major contracts with Company officers, customers, compliance personnel and other legal counsel.
