Associate General Counsel - Securities (Part-time) The candidate will take a leading role with respect the legal aspects of company s securities filings, including proxy statements, 10-K filings, Form 4 filings, as well as the lead administrator with respect to the company s stock plans. The Associate General Counsel (Securities) will be expected to manage those responsibilities independently. The Associates General Counsel (Securities) will also assist in matter related to corporate governance and preparing matters for the company s Board of Directors in close cooperation with the company s General Counsel. The Associate General Counsel (Securities) will also engage with executive team members and represent the Legal Department internally and externally with respect to his or her area of responsibility. Takes leading role in the preparation of SEC filings (e.g. Forms 10-K, 10-Q, 8-K, Section 16 and proxy statements). Provides advice and counsel to ensure compliance with SEC regulations and stock exchange requirements. Counsels managers on complex legal matters related to the company's compliance with securities laws, Sarbanes-Oxley, and Exchange requirements. Interacts with outside counsel, other legal personnel, technical experts, paralegals, Corporate staff, support staff and business unit representatives. Oversees compliance with state, local and foreign governance requirements. Assist with training initiatives. Provides support to the Board of Directors as directed by the General Counsel. The candidate should have Juris Doctorate (JD) from a top-tier law school and actively licensed to practice. Must have 5+ years legal experience in either a top-tier law firm or publicly-traded corporation working on matters of securities law and corporate governance. Must be detail-oriented, analytical, and adept at solving complex legal problems. Should have strong oral and written communication skills. Must have strategic thinking skills evidenced by the ability to develop strategies that reduce potential areas of legal risk while furthering business objectives.
