Counsel/Contracts The candidate will provide general legal services, including advising management, and personnel, as to compliance with law relating to the development and manufacturing of products. Will prepare and help negotiate agreements with key component suppliers and with contract manufacturers, and is the primary legal support for negotiating through contractual issues when quality or other disputes arise, including proactively identifying issues and trying to get ahead of them before legal claims are made. Advise procurement and site operations, and deals with real estate, leases, property and site management and environmental compliance. Provide advice and support with dispute resolution, including contractual disputes, and potential claims. Manage outside counsel to ensure narrowly defined project scope and budget. Work with outside counsel to keep project timely and within budget. Work independently and under the direction of the Vice President and Head of Law for the Radiology business U.S. (The position also coordinates with Global PS Business Partner-PH). Provide overall direction and leadership in the provision of legal services for the product supply pharma-devices head and management team. Manage highly complex issues concerning product supply including complex supplier agreements, supplier quality, facilities, supply chain, vendor and outsource agreements. Handle legal advice including handling disputes with suppliers and vendors and proactively advising how to mitigate production risks. Solve complex problems requiring independent thinking to identify and analyze different situations. Make well-thought-out decisions on complex or ambiguous issues. Consider system impact and mid-to long-term effects of decisions/solutions. evaluates processes to improve future decisions. Provide independent service across a wide range of legal areas. Act responsible for answering questions and providing guidance to paralegals and less senior lawyers. The candidate should have J.D. Degree and 8+ years of experience and admittance to the Bar. Must have 5+ years experience in drafting and negotiating complex commercial agreements. Manufacturing and supplier agreements is preferred. Experience in handling product supply is preferred.
