Associate Counsel II - Retail Banking The candidate, with limited direction from the Managing Senior Counsel-Retail, and with support of the Senior Counsel-Retail, will advise the Retail business lines on legal issues, potential and actual litigation, changes in federal and state law, and legal document review. Responsibilities include drafting memos and emails on legal and regulatory requirements and supporting the updating/implementation of all policies and procedures related to the Bank's legal responsibilities to minimize the company's exposure to financial loss. Provide support to the Retail lines of business for day-to-day legal matters and questions, including drafting, reviewing, finalizing, and interpreting agreements and other legal documents. Serve as legal support for consumer and business deposit operations and servicing providing advice and guidance in regard to day to day matters such as account documentation, check processing and wrongful payment issues. Support the maintenance of and periodic updates to account documentation for savings, checking, money market, IRA and Health Savings Accounts. Review new product features and all marketing efforts related to promotion of these products. Assists deposit operations and servicing with developing policies and procedures compliant with applicable state and federal laws. Serve as legal support for payments and payments card services and operations, researching questions on laws and regulations and providing direction on matters that include ACH, Debit Cards, Credit Cards, Prepaid Cards, Online Banking, Mobile Banking and Online Bill Payment. Responsible for the maintenance of and periodic updates to all payment card documentation, reviewing new product features and marketing promoting these products and services. Assist payments and payment card services with developing policies and procedures compliant with applicable state and federal laws. Serve as legal support for loan origination, loan servicing, collection and foreclosure operations. Provide day to day advice on loan documentation, lien position, titling and disclosure matters. Assist with the development and revision of policies and procedures in support of all consumer lending operations. Provide general legal support for consumer marketing initiatives, reviewing all forms marketing and drafting sweepstakes terms and conditions. Provide support for consumer complaint management. Review vendor contracts related to Default Services and Loan Servicing matters as applicable. Provide support to the Senior Counsel-Retail as necessary. May also provide direct or indirect supervision for other legal staff, such as paralegals. Research law-related questions and report findings to the appropriate departments or colleagues. Attend internal client and committee meetings. Assist in the development and implementation of policies and procedures. Monitor legal environment (e.g. changes in state or federal laws, rules and regulations, court decisions, etc.) to ensure awareness of actual and pending changes in each area of legal responsibility and communicate information internally as appropriate. Serve as a liaison with and monitor the performance of outside counsel to ensure quality and contain costs. Assist in the oversight of the legal aspects of organizational transactions. Perform other responsibilities as assigned by the General Counsel, Managing Senior Counsel - Retail, or Senior Counsel.

The candidate should have a Bachelor's degree with emphasis in finance, economics, regulatory review, accounting, law or risk management. J.D. or L.L.M. Degree is required. Bachelor's degree professional certifications with an emphasis in banking, finance, regulatory review, or risk management is preferred. Must have 7-10 years of experience as an attorney with a practice focusing on day to day operational banking issues and finance matters. In house counsel experience with responsibility for providing counsel to major banking related business lines is preferred. License to practice law by start date is required. Other Professional Certification as Risk Management Associate or CRCM is preferred.
