Legal Counsel and Senior Manager Contracts

Legal Counsel and Senior Manager Contracts The candidate will draft, review and negotiate a variety of contracts necessary to support the R&D, clinical and business operations of a growing public bio-pharmaceutical company. Draft, review and negotiate a high volume of contracts including confidentiality, clinical site agreements, sponsored research agreements, master service agreements, and consulting agreements. Identify compliance matters that arise in contracts and collaborate, as needed, with the appropriate compliance professional to resolve. Identify and advise internal clients of business and legal issues that arise in negotiations to enable clients to make informed decisions concerning such issues. Interact with internal clients to understand their business and contract requirements and priorities. Provide contract management support post-execution, including, but not limited to, the following tasks: interpret contract language; draft amendments; draft termination letters; and assist with payment disputes, as needed. Maintain contract information in a contract management system. Develop reports to track and monitor contract metrics on an ongoing basis. Ensure compliance with the Contract Approval Policy. Identify and report policy deviations. Contribute to the review and development of contract templates and playbooks. Assist other members of the Legal Department on various other tasks and projects, as needed. Must have Juris Doctorate and admission to a State Bar. Should have 3-5 years of experience in corporate legal department drafting/negotiating agreements related to R&D, clinical and business operations in the pharmaceutical or biotech industry. Knowledge of laws and regulations applicable to the industry is needed.
