Corporate Counsel The candidate will provide high quality legal advice and counsel in a timely fashion to the General Counsel and other management team members on complex business, legal and regulatory matters. Will work closely with business and operational teams on a day-to-day basis with respect to the Company s activities, operations and transactions, including the integration of the business activities of the acquisition target. Prepare, review and/or negotiate agreements and contracts with vendors, customers and other commercial parties. Develop and maintain familiarity with requirements of complex federal and state laws and regulations affecting the operation of a multi-state pharmacy, wholesaler, and DEA manufacturer. Analyze and interpret new federal and state legal, regulatory and compliance requirements impacting the Company s business and recommend courses of action. Assist in the representation of the Company in legal proceedings including in federal/state court and local agencies (in coordination with outside counsel, as necessary or required). Assist on federal and state public and legislative affairs and advocacy matters as needed. Assist on corporate governance, privacy, marketing, employment and other matters as needed. Work with and supervise outside counsel and other consultants on various legal and regulatory matters. The candidate must have 4-6 years of legal experience to serve as Corporate Counsel. Must have obtained a J.D. Degree from an accredited higher education institution and a membership to a State Bar in good standing to practice law (and, if applicable, with the ability to obtain NJ Bar membership shortly after beginning work). An attorney with top academic credentials with experience in a law firm or in house legal department, preferably as a corporate generalist (although we are willing to consider strong candidates with differing backgrounds). Must be able to manage workload independently and meet deadlines within a changing environment. Must have excellent problem-solving skills, possess strong interpersonal and communication skills. Graduate or undergraduate degree in the sciences, pharmacy or a related field is preferred. Knowledge of, or experience with, pharmacy compliance is preferred. Prior experience as an in house lawyer is preferred. Knowledge of laws and regulations affecting the operations of a healthcare company a plus.
