Corporate Transactions Counsel The candidate will be responsible for providing well-reasoned, professional legal advice to Corporation and its subsidiaries on a wide-range of transactional business-related matters with the intent of ensuring compliance with laws, regulations and policies affecting company, and minimizing associated business and legal risks/liabilities. Will negotiate, prepare and work with (as necessary) outside counsel on purchase or sales agreements, joint venture agreements, letters of intent, real estate sales/purchases and all related documentation. Work closely with corporate and business unit leadership to provide pro-active legal services to company. Manages and supervises legal review of material commercial transactions with company business teams, to include necessary drafting, negotiation and execution of agreements. Works with business teams to draft and implement standard contracting operating procedures, review processes, delegations of authority and terms and conditions for use by the Company s business units. Works with Treasury function on financing and insurance agreements and related transactions. Counsels business teams in conjunction with, and participates in the drafting and negotiation of, commercial agreements regarding sales, distribution, purchasing, and supply chain issues. Conducts training for the business teams to educate Company employees regarding laws and regulations affecting the business, risk identification and mitigation in and conflict resolution in the commercial setting. Anticipates and mitigates potential legal problems within the organization and develops strategies to avoid costly litigation and reduce potential areas of risk. Works closely with the Legal and Business teams to develop best practices, policies and procedures. Performs other job-related duties as assigned. Growing company with growing legal function allows this position to help create the culture and performance metrics for a growing and highly respected function at company. Must have Juris Doctor Degree from an A.B.A. Accredited Law School. Should have extensive legal knowledge. Public company/SEC knowledge helpful. Experience with government contracting, export control, applicable regulatory and/or compliance requirements and risks is a plus. Should have 8+ years of experience practicing law as an attorney at a high quality law firm and in a public company in-house counsel environment. Must have experience counseling clients/colleagues on complex commercial transactions, including mergers and acquisitions, in business and/or regulatory risk mitigation strategies, and a wide variety of legal issues. Should have experience managing other attorneys or paralegals, delegating and guiding the work of others, and creating and managing legal budgets. Experience counseling clients in the transportation or heavy-manufacturing industries and/or public company clients is preferred. Must be licensed to practice law before the highest court of any state with eligibility for admission to the Indiana bar within six months of employment.
