Corporate Counsel The candidate will be responsible for corporate and commercial legal matters, working independently or in conjunction with outside counsel for more complex matters. Responsibilities include: establishing and maintaining corporate governance initiatives; compliance with SEC reporting requirements; reviewing, negotiating and drafting contracts, and other general legal matters; liaising with management regarding legal issues; mergers and acquisitions; and oversight of litigation and outside counsel. Provides legal advice to company management on a broad range of legal matters relating to company as a business entity. Negotiate and oversee the company's contractual arrangements with third parties. Review and assist in negotiation of national contracts. Maintain current contract files. Oversee the company's compliance policies and procedures in accordance with the Securities Act of 1933 and the Securities Exchange Act of 1934, and other considerations including CFTC, anti-money laundering and privacy regulations. Coordinate all franchise compliance documentation, including preparation of franchise document filings with State licensing agencies, preparation of default and termination letters, and other related matters. Work closely with outside counsel, Franchise Operations and Business Development departments. Administer and enforce Insider Trading and other fiduciary policies. Maintain licensure status and stay current with evolving legal trends through participation in professional organizations and continuing legal education, especially in the area of franchise related matters. Act in an advisory capacity regarding general legal matters including employment, intellectual property, tax, guest complaints and other disputes. Coordinate and oversee required regulatory filings. The candidate should have a J.D. degree from an ABA accredited institution. Must have 5-7 years of professional experience, preferably in corporate or general practice. Should be licensed to practice law in the State of Minnesota. Working knowledge of SEC rules and regulations and public company filing requirements is needed. Should have ability to interact effectively with field and corporate personnel, outside law firms and other contacts as required. Experience in dispute resolution a plus.
