Compliance and Contracts Attorney Responsibilities: Assist with creating, implementing and maintaining policies and programs that support compliance with anti-corruption, export controls, conflict of interest, personnel, data retention and other corporate policies, rules and regulations; Build and deliver tailored compliance and legal-related training to a global audience; assess and procure technology and third-party content to support global training programs; coordinate with the General Counsel to manage communications, tracking, reporting, and follow-up; Lead the annual, global Code of Conduct, FCPR / anticorruption, GDPR training / certification and various other trainings and track and report employee completion rates; Communicate compliance requirements to the global workforce as needed; Manage our third party due diligence program and approval process for review of proposed resellers, distributors, partners and key vendors; Review Denied Persons List (including OFAC) screening escalations; work with Channel Sales and Finance teams to ensure compliance with sanctions; administer export control functionalities; coordinate enhancements with IT and provide guidance to other teams as necessary; Oversee the compliance / whistleblower hotline; Develop relevant metrics to measure compliance program effectiveness and report out on progress; work with internal and external audit functions to ensure timely evaluation of compliance programs; Administer various processes requiring certifications from employees, third-party consultants, vendors and customers and track completion; Assist with various litigation and dispute matters including tracking and updating filing deadlines and subpoenas; Assist with all aspects of discovery and e-discovery from data collection through production; Assist in optimizing risk and control activities; Serve as point of contact for employee and other compliance questions across the range of issues. Provide legal support for our team on a broad range of commercial agreements in support of purchasing, sales, confidentiality, and other transactions. Review and negotiate standard and non-standard agreements including Non-Disclosure Agreements, Master Service Agreements and Terms and Conditions. Exercise good judgment in making legal and business decisions while providing contract interpretations and guidance to internal business teams to ensure compliance with company requirements. Ensure timely review of contract modifications and communication of changes and notices to the business team. Work closely with cross-functional teams (Sales, HR, Marketing Finance, and Operations) in order to resolve legal and business challenges. Ensure that all required approvals are obtained prior to submittal of contracts for execution.

Qualifications: Bachelor's degree from an accredited college or university, business administration, accounting, information systems, cybersecurity or related field required. JD Degree from an accredited school; admitted to practice law in the state of Georgia. 3+ years of experience focused on legal compliance, including export controls, conflicts of interest, FCPA and other anticorruption regulations required and data protection. Experience with commercial transaction contracting; In-house experience preferred; Working knowledge of privacy and security standards and regulations such as GDPR, Privacy Shield, HIPAA/HITECH, etc. related to internal controls, risk assessments, business process and internal controls testing / operational auditing; Understanding of contract and negotiation principles in the business and legal context. Strong communication and project management skills with the ability to prioritize and communicate priorities required; Fundamental understanding behind channel partner due diligence review process, experience with conducting reviews preferred; Experience in project management and the ability to clearly communicate data protection and privacy issues verbally on both a formal and informal basis to all levels of staff; Strong aptitude to develop global compliance training programs; Experience in developing communications to a multicultural employee base in support of the compliance and ethics programs; Strong work ethic and ability to juggle numerous matters at once and produce high quality work under tight deadlines; Act independently to determine the best method and procedure, and consistently look for ways to improve processes and find efficiencies in support of the legal department; Willingness to take on additional tasks and projects outside of core areas of expertise; Organized and methodical approach to projects; Exercise good judgement in working independently and taking initiative. Preferred Qualifications: Experience with internal controls, risk assessments, business process, project management, and ERP packages are preferred; Oracle experience ideal. Experience within the automotive, mining or manufacturing sector.
