Contracts Counsel Responsibilities: Under general direction from the General Counsel, responsible for overseeing proposal preparations, guiding and/or directly engaging in contract negotiation, drafting and administration of contracts with clients, partners and vendors. Provides interpretation of contract terms and conditions to ensure they are in accordance with company policies, legal requirements and client specifications. Provides advice on contractual matters, prepares client correspondence, and monitors fulfillment of contractual obligations. Reconciles prime contract terms with subcontract terms to ensure compliance, and risk identification and mitigation. Reviews statements of work to ensure compliance with company practices and requirements. Liaisons with clients to resolve contractual differences and communicate pertinent information. Monitors performance to ensure timely delivery of requested items and to anticipate contract problem areas and coordinate solutions. Advises management of serious contract issues and risks and proposes and implements resolution and risk mitigation plans. Requests, proposes, and negotiates contract modifications/amendments revising work scope, prices, deliveries and/or other contract provisions. Coordinates contract closeouts. Interfaces professionally and efficiently with account executives, consultants, management and support organizations.

Qualifications: Bachelor's Degree required. JD Degree preferred. Meaningful commercial contract administration and management within a legal or procurement department. Federal contracts management experience is a plus. Primary and autonomous responsibility for reviewing, drafting and negotiating the legal terms of a broad range of commercial contracts. Experience in negotiation of Non-Disclosure agreements, teaming agreements and supplier agreements. Demonstrated track record of successful management of large and complex commercial transactions. Professional services contracts experience preferred. Ability to establish and maintain credibility with internal and external client; effective at building consensus and achieving goals through influence. Excellent interpersonal/communication skills with professional staff, senior level executives, and broader stakeholders. Demonstrated ability to create and execute innovative solutions to complex technical/business problems.
