Corporate Counsel - Compliance and Programs The candidate initiates, develops, maintains, and revises policies and procedures for the general operation of the Public Sector Contracts Compliance Program ( PSCCP ) and its related activities to prevent illegal, unethical, or improper conduct. Manages day-to-day operation of PSCCP in conjunction with key company stakeholders, including close collaboration with ethics and compliance and finance with respect to financial reporting and including thorough knowledge and advice on commercial sales practices and their relevant impact on public sector business. Understands the structure and assists the business in managing legal compliance for public sector channel / reseller relationships. Develops and periodically reviews and updates standards of conduct, in conjunction with the ethics and compliance function, to enable continuing currency and relevance in providing guidance to management and employees. Responds to alleged violations of rules, regulations, policies, procedures, and standards of conduct. Acts as an independent review and evaluation body to ensure that compliance issues/concerns within PSCCP are being properly evaluated, investigated and resolved. Identifies potential areas of Public Sector compliance vulnerability and risk; develops/implements corrective action plans for resolution of problematic issues, and provides general guidance on how to avoid or deal with similar situations in the future. Provides reports on compliance issues, including pricing, subcontracting and other requisite business details. Provides internal reports on a regular basis, and as directed or requested, to keep the senior management informed of the operation and progress of compliance efforts. In conjunction with senior legal management, ensures proper reporting on compliance practices to duly authorized enforcement agencies as appropriate and/or required. Periodically engages with federal, state and local contracting officers and government attorneys to address Public Sector compliance questions or concerns of common interest and industry trends in order to maintain a current, active compliance focus on key issues. Periodically trains the Public Sector business management and other interested staff on federal and state contracting compliance requirements. Provides exceptional customer service to internal and external customers and builds strong relationships. Collaborates with functional team members on ad hoc projects and other LPA team members on relevant legal and regulatory matters. Provide overflow support in reviewing, negotiating and drafting software licenses and services agreements, including enterprise on-premises licenses, managed services, Software-as-a-Service (SaaS) and cloud, consulting, subcontracts and related agreements in support of firm s enterprise and Public Sector sales and channels organizations. Law degree and state bar membership in good standing is needed. Should have 5+ years of experience with government contracts and government contracts compliance is required but will consider experience in related compliance intensive industries, e.g. Healthcare. Pricing or finance/auditing experience is a definite plus. Strong working knowledge of federal and state contracting programs is required. Requires knowledge and understanding of FAR/DFARS, including federal pricing calculations (e.g. GSA) GSA channel compliance requirements, and other areas of federal and state Section 508 Accessibility requirements, and the Trade Agreements Act is needed. Capable of reviewing and synthesizing legislative changes or complex data and implementing efficient and effective compliance processes across multiple organizations. Strong track record of working in a collaborative environment with demonstrated evidence of maintaining relationships and partnerships with peers and business partners is essential. Project management skills, including tracking and reporting skills are a definite is a plus. Excellent customer focus skills, both internal and external is needed. Security clearance or the ability to qualify for a security clearance is a plus. Interest and knowledge of technology and current trends in software / IT industry, including cybersecurity and privacy trend is needed. IT Literate, with working knowledge of using Word, Excel and PowerPoint is essential. Fluent in English is needed.
