Senior Counsel - Securities and Governance RESPONSIBILITIES: Assist in preparation of SEC periodic reports and proxy statements Collaborate with cross-functional teams on a broad range of matters, including securities offerings, bank financings, and proxy statements and annual shareholder meeting matters Provide legal and strategic guidance across departments and divisions, and to senior management and functional organizational leadership, on a variety of corporate and securities matters, including SEC disclosure rules and corporate governance trends and best practices Assist with Board and Board Committee matters related to functional area, including preparation of Board materials Support securities and financing-related aspects of business and M&A transactions Anticipate and identify changes in relevant laws and regulations, and develop and implement recommended actions. Help select and direct the work of outside counsel, define project objectives, and manage projects to ensure the work, strategy and costs meet needs and expectations Develop and manage budgets for legal matters.

Qualifications: JD Degree. 5+ years of legal experience with a major corporation or law firm. Thorough knowledge of securities law, financing, and corporate governance matters. Experience drafting contract provisions relating to securities and financing matters, including in mergers and acquisitions. Experience working successfully in cross-functional teams Management experience (of attorneys and/or paralegals), with the ability to lead and mentor In addition to outstanding legal skills, must have excellent interpersonal, organizational, strategic thinking, collaboration, and communication skills. Demonstrate expertise, sound judgment, and an understanding of how assigned responsibilities support broader strategy and business objectives. Understand legal and business dynamics and successfully collaborate across a variety of departments and divisions. Build strong relationships with business partners, based on legal expertise and consistently providing responsive, practical support. Adapt quickly to changes inside and outside, and will possess strong creative thinking and problem solving capabilities. Possess strong project management skills, including meeting the demands of multiple projects, managing timelines and prioritizing effectively Work independently, while identifying issues requiring elevation and the timing for doing so Possess executive-level written and oral communication skills Have a strong sense of ownership and accountability, demonstrating reliability and thoroughness.
