Corporate Attorney The candidate will draft, review, negotiate, and manage necessary documentation for firm and its affiliates customer equipment sales and purchase contracts, professional services agreements, technical proposals and confidentiality agreements for domestic transactions. Collaborate with other personnel to negotiate contracts with vendors, customers, and subcontractors. Participate in Contract Review process for all contracts developed within family of companies. Work with Senior Manager, Legal Analysis, develop a broad understanding of the firm family of Companies historical transactions, customer relationships, and business development cycle, as a frame of reference for effective management and administration of contract needs for the Companies. Aspects of developing this foundation include: acquiring a thorough understanding of UCC and state choice of law considerations; the Companies indemnification and defense philosophy; limitation on liability; shipping terms and sales tax considerations; the Companies practices with Master Subcontractor Services Agreement, Master Terms and Conditions, and Manufacturing Special Purchase Order contracts; and an understanding of the Legal Department information archived on the department drive and in the contracts database to assist with litigation management and contract management. Identify issues arising in daily operations to ensure that applicable legal implications are considered in corporate decision making. Perform statutory, case law and regulatory legal research as needed to formulate proper approach on contracting, regulatory compliance and other legal issues. JD degree is required. Should have 5+ years of experience in corporate law department setting or similar relevant private practice experience. Must have 3- 5 years complex commercial contracts experience. Knowledge of general office equipment and applications required. Microsoft Office experience is required. Strong critical thinking and reasoning ability, issue identification, problem resolution and analytical skills are essential. Excellent written, oral, and interpersonal communication skills are needed.
