Vice President, Intellectual Property Counsel The candidate will be responsible for developing and implementing comprehensive intellectual property strategy. This role leverages strong advocacy ability to persuasively present before third parties and senior executives and to work collaboratively across internal teams to resolve legal and intellectual property issues. Serve as a valued strategic partner to the business to devise and execute successful IP enablement and protection strategies. Actively develop and manage a patent portfolio to protect key differentiating aspects of company's technologies, including managing outside counsel on patent drafting and prosecution, improving quality, scope and litigability of patent applications and claims, and tracking patent budget and spending. Collaborate in the Drafting, reviewing and negotiating of a wide range of technology contracts and IP related agreements and provisions including non-disclosure agreements, joint development agreements, sponsored research agreements and government funding agreements. Provide counsel to the business on licenses, collaboration agreements and other third-party transactions impacting the protection or other disposition of IP rights. Lead investigations into encroachments on the Company's IP rights and provide guidance on potential enforcement actions. Counsel the business on evolving developments in IP law, recommending policy and process changes as needed to enable business goals and objectives. Counsel management on IP matters involving patents, trade secrets, trademarks and copyrights. Analyze IP landscapes, perform IP risk assessments and develop IP sustainability strategies. Lead and contribute to the development of business processes and policies to better enable achievement of business objectives, mitigate risk, reduce inefficiencies and improve effectiveness. Collaborate with counsel regarding IP procurement and enforcement strategies. Develop programs to protect IP and accomplish business goals; provide training to management and engineering teams. Counsel legal, business, and marketing teams on legal issues involving product innovation. Develop appropriate policies and procedures for protection of Intellectual Property.

The candidate should have a Juris Doctorate (JD) from accredited law school. U.S. Bar admission (Missouri or other state) or eligibility to be admitted to the Missouri Bar is required. At least 10 years of legal experience with deep legal knowledge and experience in the following areas: patent prosecution, trademarks, copyright, domain names, open source, and intellectual property and software licensing. Strong intellectual capacity and high personal standards of excellence. Strong business and technology acumen; capacity to learn the business and technology quickly. Ability to work collaboratively across organizational boundaries, providing counsel to legal, business, and marketing teams on legal issues involving product innovation. Demonstrated ability to identify protectable IP and establish relevant policies and procedures. Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results. Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset. Use sound judgment and strong analytic skills to make decisions, communicate effectively, verbally and in writing, work well with others in a team environment and resolve complex issues. Professionally manage multiple projects in a demanding work environment.
