Corporate Counsel

Corporate Counsel The candidate will provide in-house legal services to the company, its subsidiaries and affiliates. Will provide general legal and business support to growing international legal services company, with a particular focus on company administration, compliance and governance. Also responsible for dispute management, legal research, contract drafting, policy analysis and drafting, regulatory analysis, risk analysis and a variety of other ad hoc tasks. Support various parts of the company with a primary focus on corporate governance, support of growth and expansion, transactions and litigation/dispute resolution. Negotiate, draft and execute agreements on behalf of the company. Offer internal counsel on a wide range of legal issues. Advise on legal risks and liabilities associated with opportunities and deals. Perform due diligence exercises in support of pending opportunities and agreements. Research legal issues impacting the company and draft opinion memos on various topics. Analyze regulatory requirements and draft internal policies. Advise on regulatory risk and recommend policy strategies to operational management. Support corporate compliance operational objectives and compliance in HR practices (including internationally). Develop responses to complaints, investigations and administrative proceedings. Provide various corporate secretarial duties, as well as advice and counsel on Corporate Board responsibilities and logistics. Manage and maintain key corporate documents and records. Monitor corporate governance developments and assist the Board in tailoring governance practices to meet internal and external needs and investor expectations. Serve as central point of contact for investor communication and engagement on corporate governance issues. Liaise with auditors, lawyers, tax advisors, bankers and investors on Board governance issues. Responsible for subsidiary management and governance, including legal entity rationalization as necessary. Law degree and active Bar licensure are required. Must have 2-3 years of corporate practice experience, ideally as part of a substantial firm with a strong corporate practice. Experience working with public and private companies both domestically and with an international footprint is essential.
