Corporate And Securities Senior Legal Counsel

Corporate and Securities Senior Legal Counsel The candidate will handle a broad range of securities and corporate law matters, including corporate governance and board-related matters, public company filings, public reporting requirements and provide counsel on compliance with SEC, corporate charter and stock exchange requirements. Provide legal advice to the Chief Legal Counsel, Office of the CEO, and CFO on corporate governance, Maryland corporation law, SEC, Sarbanes-Oxley and NASDAQ compliance and disclosure matters. Proactively address potential securities law issues to prevent or minimize legal risk to the company. Coordinate and prepare SEC 34 Act filings, including 8-Ks, 10-Ks and 10-Qs, Section 16 and other public disclosures. Lead cross-functional team to prepare proxy statements and conduct annual shareholder meeting. Advise Chief Legal Counsel and CEO in preparing for meetings of stockholders, Board of Directors, and board committees. Develop corporate governance policies and implement legal controls to help ensure sound corporate governance practices. Provide advice on domestic and international subsidiary governance. Provide legal support for senior management, investor relations, and CFO Group in reviewing external communications, corporate web site materials, earnings announcements and investor presentations. Provide legal advice and business counsel to the company on mergers, acquisitions and divestitures. Must have Law degree from accredited School of Law. Active member in good standing of the bar of a United States state or jurisdiction is required. Should have 10+ years of industry experience in a firm providing retirement plan services such as mutual fund complex, insurance company, broker-dealer, or law firm. In-depth, specialized knowledge of legal rules governing retirement plans is needed. In-depth specialized knowledge of corporate governance laws is must. In-depth specialized knowledge of public company reporting and United States securities laws is must. Management experience is essential. In-depth specialized knowledge of global corporate governance laws and practices is preferred.
