Corporate Counsel - Contracts Duties: Responsible for the drafting and helping business stakeholders to negotiate and finalize all forms of commercial contracts, and provide legal counsel in multiple areas (such as privacy and data protection law, real estate, corporate governance, customs/trade, financial services, and all types of contracts and agreements). Contracts and agreements may include, but are not limited to, commercial leases, Master'service agreements and other non-production purchasing terms and conditions, financing and financial services agreements, data sharing agreements, software licensing, confidentiality agreements, logistics and supplier agreements, and other contracts related to servicing and distribution of parts and vehicles. Advise business regularly on contractual relationships with suppliers and other third parties, and draft, review, negotiate commercial contracts in all relevant areas of the role with adequate legal protections and in compliance with internal policy; Advise on privacy and data protection issues in US, Canada and under the new General Data Protection Regulation (GDPR) in Europe, and help train the relevant business people and monitor compliance on an ongoing basis; Regularly assist certain departments on ad hoc matters, including finance/financial services, customs, vehicle logistics and distribution; Assist on special projects and other tasks of the legal department; and Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.

Qualifications: Bachelor's degree and a JD degree from an accredited law school is required, and must be a member of the Bar in a US state in good standing; Admitted to practice law in Canada, and in good standing is preferred; 5-7+ years' applicable experience; Advanced commercial contract drafting and corporate governance experience is required; Previous automotive industry experience is highly preferred; Prior in-house legal experience (1+ year) is preferred; Must have a general understanding of financial reporting; Must have advanced knowledge of Microsoft Office products; Must have demonstrated strong organizational skills, and attention to detail; Must be willing to take initiative to regularly learn more about the business, new technology, and the Company s products and services; Must have strong prioritization, multi-tasking skills and ability to work quickly and accurately under tight submission deadlines; Must have strong business acumen, and the ability to work with people at varying levels within the organization; Must possess strong verbal & written communication skills; and Must have the ability to travel occasionally, both domestically and internationally, as required.
