Associate Director, Corporate Counsel (research-focused contracts)

Associate Director, Corporate Counsel (research-focused contracts) The candidate will provide support to the Research, Global Clinical Development and Medical Affairs teams. Will be responsible for drafting, negotiating and advising on a wide array of contracts and for providing those teams with related advice and counsel. Draft, review and negotiate research-related agreements, including those involving clinical trials, clinical research organizations, site management organizations, data safety monitoring boards, laboratory and ancillary services, consulting services, confidentiality agreements, academic research collaborations, sponsored research, investigator-initiated studies and material transfers. Advise on the interpretation of agreement provisions and on contractual disputes. Train client groups on contracts issues and policies. Enhance contract management tools, including template and playbook development. Collaborate with other legal functions (e.g., Intellectual Property, Pharmaceutical Legal Operations, Compliance, Dispute Resolution and Strategic Transactions & Licensing) and with the Strategic Sourcing and Procurement Department. The candidate should have BA/BS and JD degree with excellent law school credentials. Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel is preferred. Must have 5-10 years of legal experience at a law firm and/or in-house, including biotech/pharmaceutical and/or health care experience. Must have strong knowledge of contracts and related law. Must have experience working in/with biotech/pharmaceutical industry. Must have experience with contracts involving intellectual property. Excellent contract drafting and negotiation skills needed. Exceptional oral and written communication skills required. Strong interpersonal and conflict resolution skills required.
