Contracts Counsel - North America The candidate will provide strategic legal advice and technical expertise as an essential and valued team member and business partner. Will work closely with other Legal team members, the commercial teams and procurement partners on a full-spectrum of contract law and commercial issues, including, contract drafting and negotiation, commercial transactions, policies, processes and training. Structure, draft and negotiate a variety commercial contracts, including product sales, equipment leases, professional services, IT, supply chain and other procurement agreements. Review and interpret contract rights and obligations and manage and resolve contractual disputes. Serve as the legal department liaison for audit, RFI/RPF and other contract-related matters. Draft, update and maintain template agreements. Drive contract administration process improvement and efficiency through technology, policies and training. Work closely with contract managers as the first point of contact for contract and related issues and involve subject matter experts as needed. Independently handle legal matters and projects, as assigned. Elevate matters to the attention of the Americas General Counsel and seek outside legal expertise, as required. Supervises, manages and evaluates outside counsel, as required. Perform other duties, as required. Should have a J.D. degree from an accredited law school. Bar admission and good standing in any jurisdiction in the US (eligible to practice in North Carolina) is required. Must have 3-5 years of substantive experience in contract drafting and negotiation (1-2 years' experience in a large law firm preferred).
