Corporate Counsel The candidate reports to an Associate General Counsel. Identifies and communicates key responsibilities and practices to ensure the organization promotes a successful attitude, confidence in leadership, and teamwork to achieve business results. Supports the implementation of company programs, procedures, methods and practices to promote key messages. Challenges and inspires employees to achieve business results. Ensures employees adhere to legal and operational compliance requirements. Oversees training and development of employees directly and indirectly managed and makes effective staffing decisions. Conducts and ensures the completion of performance reviews. Provides coaching, direction and leadership support to employees in order to achieve department, company and customer results. Establishes and maintains visibility within the department. Monitors operational statistics, reports trends, variances and issues, and takes appropriate action. Works cross-functionally to identify risks and provide strategic, practical and creative legal and business advice. Provides high quality, timely legal services and legal risk management for the company, including reviewing, drafting and negotiating a wide variety of contracts. Develops, improves, and maintains contract templates, corporate policies and processes and training programs. Manages outside counsel.

The candidate should have a J.D. degree from an accredited law school with a national reputation with license to practice in at least one state in the US. Must have 5+ years of large law firm experience in a sophisticated transactional practice. Some in-house experience is preferred. Relevant in-house legal experience with a consumer-brand company is needed. Should have experience in a retail or branded services company with stores or field operations. Experience practicing law in the outdoor industry Experience managing outside counsel is essential. Experience with IP is a must. Should have experience counseling and training business persons with no legal background. Should also have experience reviewing, drafting and negotiating a wide range of commercial contracts, particularly in the areas of technology, IT, digital, marketing, outdoor experiences, and related fields and services. Must have demonstrated experience with technology/IT and privacy issues, particularly in a consumer-facing business. Solid experience in one or more areas of retail business is needed.
