Corporate Attorney The candidate plays an integral role and is responsible for advising on all legal matters impacting our growing company and in advising Stampede s team on issues related to large transactions, negotiation of contracts, and ongoing external communications. This attorney is able to thrive in a fast-paced, complex environment, and is comfortable advising all levels of the business and management on relevant legal issues. This position will require occasional international conference calls and correspondence with foreign offices and advisers. Draft, review and negotiate a variety of legal contracts; including but not limited to IP, Software-as-a-Service (SAAS), vendor distribution agreements, demand letters, non-compete, technology and data licensing agreements, service agreements, purchase agreements, development agreements, partner agreements for resellers, distributors, systems integrators (SIs), and independent software vendors (ISVs), distributor and sales agreements, non-disclosure, marketing and sponsorship agreements and other various legal agreements. Summarize and communicate legal concepts and make recommendations teammates can clearly understand and act upon. Advise internal clients (e.g. sales, finance, operations, marketing and service delivery teams) on legal issues and risks, complex agreements, approval processes, company policies and procedures, intellectual property matters, negotiating strategy, compliance with laws, regulations and customer and partner contracts. Work with Product Management, Finance, and Operations teams to develop negotiation strategies and resolve contractual issues. Serve as a subject matter expert on various legal developments relevant to commercial issues. Ensure legal compliance and limit risk exposure, offer counsel on legal issues and facilitate business strategies according to applicable international, federal and state laws and regulations. Facilitates and manages the appropriate use of outside counsel, both domestic and international. Ability to think strategically and give practical advice appropriately balancing legal, pragmatic and business-focused objectives. Assist with legal research and special projects, including managing commercial relationships, mergers and acquisitions, compliance training and pre-litigation legal disputes and inquiries. Work largely autonomously, relying on experience and judgment to assist the business in accomplishing its goals while also working to protect Stampede s legal interests.

The candidate should have JD degree and be a state Bar member in good standing. Should have ability to interpret laws, regulations, policies, procedures and effectively educate and communicate related impacts to executive management. Must have excellent MS Office knowledge including Excel and PowerPoint. Should be detail oriented with excellent organizational skills and the ability to manage multiple transactions and competing priorities in a fast-paced, fluid, and deadline-driven environment. Must have effective and persuasive written and oral communication skills.
