Corporate Attorney The candidate will provide effective advice and support in legal matters related to SEC Compliance, Employment, and Litigation. Will report to the Associate General Counsel of Schneider. Render legal counsel on matters appropriate to the experience and background of the position and engage specialized outside legal counsel as appropriate. Working with operating divisions and with various staff departments (i.e., human resources, finance) to facilitate compliance with federal and state regulations. Involves problem solving that requires assembling and examining available or readily obtainable facts and then selecting the best solution from often diverse and not necessarily obvious alternatives. Work involves not only selecting the best solution, but actively implementing the solution. A secondary aspect of the position involves problem solving that requires the formulation and testing of hypotheses drawn from limited evidence and speculation. Prepare reports, including 10-K, 10-Q, 8-K, and proxy statement filings and maintaining corporate compliance with SEC, NYSE and other legal requirements applicable to a publicly traded company. Advise Human Resources and various levels of management on employment law including employee relations and litigation, employment contracts and non-compete agreements, company benefit plans, executive compensation issues, FLSA matters and equal opportunity issues. Draft general business contracts, e.g. computer software development, network agreements and marketing and distribution agreements. Render legal counsel on requested amendments, changes and cancellations, engaging specialized outside legal counsel as appropriate. Proactive management of legal actions involving the company or render legal actions by the company, engaging outside legal counsel as appropriate and keeping outside general corporate counsel informed on the progress of such legal actions. Assist, as requested with transactions involving asset, stock and other acquisitions or divestitures. Should have graduation from law school of recognized standing; admitted to practice in Wis (or in-house exemption). Must have 3+ years of experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position. Prior in-house experience is preferred. Familiarity and understanding of Sarbanes-Oxley and related FASB revenue recognition guidelines is essential.
