Assistant General Counsel - Corporate

Assistant General Counsel - Corporate The candidate will provide corporate governance for the Company as well as subsidiaries and affiliates to include support of the General Counsel in providing advice, counsel and legal support to the Board of Directors and Committees, including preparation of resolutions, minutes and related governance matters. Will work on Corporate entity formation (domestics and international) and governance administration and Contract negotiation, review and drafting for a full range of complex commercial matters. Handle mergers, acquisition and divestitures to include a full range of transactional matters and related financing or debt transactions. Pre-litigation resolution of commercial disputes with suppliers and customers. Risk analysis and support providing practical options/solutions for resolving business problems consistent with the law and proper compliance. Conduct training in multiple areas, including GDPR, procurement, customer contracts, intellectual property/development agreements, labor and employment compliance. Provide outside counsel management. Should have 10-15 years' experience (in a law firm or in house) in all aspects of corporate practice, including corporate governance and mergers and acquisitions. Law degree and law license is essential. Knowledge of NHTSA requirements and reporting obligations, including implementation of field actions and related supplier and customer negotiations would be advantageous. Experience working for a foreign-owned parent company is a plus. Proficient in Microsoft Office Suite is essential. origin, age, disability or veteran status.
