Corporate Attorney The candidate provides counsel on legal, policy and environmental issues and to anticipate and guard against legal risks facing the organization. Provides analysis and counsel on legal, policy and environmental issues encountered by the organization. Ensures that company-wide legal policies and procedures minimize exposure and management apprised of any violations, risks, and implications. Utilizes the legal services of the corporate outside law firm as well as counsel in other states, to check and verify legal positions, assist in complex legal reviews, and interact on legal matters confronting the organization. Prepares legal pleadings, motions, discovery and stipulations. Develops and administers comprehensive system for contract review and legal risk control and compliance throughout the organization. Writes, reviews and edits reports, opinions, correspondence, articles and other documents. Writes and administers complex vendor, client and other contracts. Evaluates all major changes in the law and remains current and knowledgeable about pending and current legislation impacting retail, online, and manufacturing, and other compliance topics. Facilitates, recommends, develops, or implements changes to existing operational policies and procedures impacting legal compliance within the organization. Documents, controls and periodically tests compliance with all local, state and federal law. Identifies, communicates, and coordinates compliance education programs for matters which the corporate attorney is responsible for within the organization. Supervises and manages employees as it relates to all projects or related work, establishes performance requirements, clarifies responsibilities of those supervised, conducts performance appraisals and plans for individual employee development. Keeps supervisor informed of important developments, potential problems and related information necessary for effective management. Coordinates and communicates plans and activities with others, as appropriate to ensure a coordinated work effort and team approach. Performs related work as apparent or assigned.

The candidate should have a Membership to the State Bar as an attorney qualified to practice law in the state of Minnesota. Must have 2+ years of related experience in a corporate attorney capacity or a law firm serving corporate clients. Supervisory experience preferred. Knowledge of technology, legal software systems, and general office administration essential. Strong knowledge of Microsoft Office needed. Knowledge of law, business administration, legal policies, procedures, practices and reporting requirements pertaining to retail, online, and manufacturing topical areas (excluding employment law) essential.
