Vp, Senior Corporate Counsel The Candidate will be responsible for Drafting and negotiating a high volume of domestic and international client and supplier contracts (Americas; Global), including but not limited to service agreements, consulting agreements, vendor agreements, real estate leases, security agreements, subscriptions agreements, and software and information technology licenses. Identifying and evaluating the company s data processing activities, including compliance with GDPR. Strategic Matters/Business Development (Americas, Global): Assist global corporate functions in the structuring, negotiation and documentation of strategic transactions, including mergers, acquisitions, divestitures, joint ventures, and assist external counsel in connection with due diligence and documentation. Litigation Matters: Assist with actual and threatened litigation and disputes, including subpoena responses. Support Global Data Privacy by developing and updating local and regional guidelines and policies and offer consultation on how to deal with privacy breaches. Supporting key functions within the organization, such as information technology, accounting and finance, facilities/real estate and human resources. Provide practical legal advice that furthers business strategies/objectives. Assist with intellectual property due diligence in mergers and acquisitions and other strategic initiatives that involve Company s intellectual property. Handling various business disputes, preparing demand letter, cease and desists letters, and other legal claims. Employment Law: Assist and advise HR in connection with employment, independent contractor and employee confidentiality and non-compete agreements, separation and release agreements.

The candidate should have JD degree from an accredited laws school with 10+ years of relevant and progressive experience and have Admission to the NY bar. Broad based knowledge and/or ability to learn and apply legal principles in an efficient and effective manner. In-house experience a must. Ability to learn and understand new business and products, and identify and mitigate risks. Solid exposure to drafting and negotiating commercial contracts and confidentiality agreements. Exceptional communication skills and the ability to liaison with all areas of the business, including senior management. Must be a self-starter, ready to assume significant responsibility in a small, fast-paced department. Flexibility and willingness to work on a wide variety of legal matters. Some domestic and/or international travel may be required. Written and verbal communication in Spanish a plus LATAM Experience also a plus.
