Attorney - Intellectual Property II Duties: Provides a wide range of legal services and advice in the areas of intellectual property law. Customarily and regularly drafts and negotiates contracts and documents including, without limitation, commercial agreements related to Company s Interactive business unit (B2B and B2C social casino and real-money gaming content and platform agreements), NDAs and similar confidentiality agreements, vendor agreements related to technology services, software licensing, hosted services, product development, and other types of third party intellectual property licensing. Advises internal development teams on trademark and copyright matters, including without limitation, selection and clearance of new trademarks and service marks, advising of copyright ability of internally developed works, copyright clearance, verification of ownership of new works by contractors ( works for hire ), and similar. Works with and advises internal development teams throughout product development lifecycles regarding potential intellectual property issues / patentability, strategic guidance with regard to patent filings, including development of claim coverage and identifying potential foreign markets for patent prosecution. Educates and trains internal stakeholders regarding intellectual property and its usage. Responsible for the development and management of Company intellectual property processes, including without limitation, invention disclosures, inventor incentive programs, open source databases, 3rd party intellectual property databases, and similar. Acts as liaison between outside intellectual property counsel and internal developers, engineers, etc. in developing patent claims; manages outside intellectual property counsel related to patent prosecution matters. Manages paralegal duties related to trademark matters, Company IP docket, and general IP administrative matters. Ensures accuracy of work and contributes to the development of improved contracting processes. Responsible for assisting General Counsel or designee in document collection and responses to pre-litigation and litigation matters. Analyze, negotiate, and assist in the preparation of documents required for the furtherance of existing and future business activities. Actively exercises effective time management and multitasking in performing duties. Assists compliance department with statutory, regulatory, corporate governance, and industry-standard requirements. Assists with due diligence, document negotiation, and closing of complex transactions. Performs research and analysis on complex legal issues and submits briefs to General Counsel or designee, as required. Collaborates closely with the General Counsel and legal team, senior management, outside legal counsel, and employees at all levels in performing duties.

Qualifications: JD Degree from an accredited law school or international equivalent. Must be licensed to practice law in at least one state. 5-7 years of relevant law firm and / or corporate legal department experience in patent, trademark, or technology law. Significant intellectual property experience in the financial services, technology, and / or gaming industry strongly preferred. Excellent ability to communicate, internally and externally, across a broad spectrum of personalities and job levels required. Demonstrated success in business counseling and risk mitigation. Experience working constructively and persuasively with business leaders.
