Sr. Corporate Counsel The candidate will support the Vice President & General Counsel in driving corporate strategic legal initiatives to facilitate the business objectives. Will provide advice on company strategies and their implementation, and obtain and oversee the work of outside counsel as necessary. Will be directly involved in complex business transactions in negotiating critical contracts and serves as the organization s compliance officer. Support in the implementation and development of corporate policies, procedures and programs and provide counsel and guidance on legal matters and implications of all matters. Serve as key lawyer and/or legal advisor on major business transactions, including acquisitions, divestitures and joint ventures as assigned by General Counsel. Judge the merits of major court cases filed against or on behalf of the company, work with Vice President and General Counsel and appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Works with Vice President and General Counsel to review and update the Code of Conduct to ensure continuing currency and relevance in providing guidance to management and employees. Assists the Vice President and General Counsel as necessary in maintaining an effective compliance communication program for the organization. Interact with outside counsel, asset managers, risk managers and others, as needed, to address and resolve litigation, real estate and corporate issues as they arise. Provide guidance on vendor contracts, confidentiality agreements, releases, settlement agreements, corporate actions, lease amendments, legal matters related to assets under management and other real estate, corporate and litigation issues. Support and monitor real estate transactions and agreements to ensure compliance with certain governing documents and agreements. Manage pending and threatened litigation for core businesses, including exercising good business judgment when entering into settlement discussions for such litigation. May work with General Counsel in the selection, retention, management and evaluation of all outside counsel. Support General Counsel in the Corporate Secretary functions.

The candidate should have a Juris Doctor degree. Admitted to practice law and be a member of the bar. 5+ years experience as a practicing lawyer, preferably initially with a national law firm before moving to an in-house position. 3+ years experience working for a publicly traded company. Must have experience managing other attorneys in a corporation is required as well as experience with cost effective management of outside legal resources. REIT and/or Telecom experience preferred. Adherence to strict confidentiality of information and diligence with respect to proactive protection of attorney client and work product privileged communications. Exceptional multi-tasking skills, with the ability to set priorities and work on several projects simultaneously. Ability to work independently and self-manage projects; strong project and people management skills. Exposure to and/or familiarity with the following areas of law: securities, antitrust, real-estate, employment, computer law and privacy. Must exhibit exceptional leadership, teamwork, communication consistent with the Mission, Vision and Core Values.
