Counsel - Intellectual Property and Global Data Privacy Responsibilities: Provide day-to-day advice to the business on all intellectual property matters, including adoption and use of trademarks, copyrights and patents. Manage I.P. portfolio and manage outside counsel and all I.P.-related actions (i.e., trademark / patent / copyright infringement claims including trademark prosecutions, Inter Partes Reviews and litigation). Conduct and analyze trademark searches for worldwide trademark clearance and draft memoranda to the business and senior management concerning trademark search results. Conduct I.P. due diligence as necessary for new collections and strategic projects to assess protectability and defensibility of prospective I.P. Investigate and analyze potential I.P. infringements (particularly trademark infringements). Provide advice to the business concerning I.P. infringements and take action (draft cease and desist letters, negotiate with third parties, etc.). Train personnel and develop guidelines and best practices relative to I.P. legal issues. Support the Company s protection of I.P. assets. Advise on all aspects of advertising / media / public relations legal issues, including: claim substantiation, proper I.P. use, endorsement / sponsorship disclosures, right of publicity, media usage rights, for-cause marketing and third party I.P. clearance, etc. Draft and/or negotiate various media and PR contracts, including advertising and media agency agreements, sponsorships, endorsements, co-promotions, brand ambassador, influencer agreements, digital campaigns, etc. Assist in the management of global data privacy related projects, including regulatory research and analysis, contract drafting, review and negotiations, and providing advice concerning collection and use of Customer Relationship Management and employee data. Manage outside counsel representing the company and its affiliates in the U.S. and across 30+ countries, in defense of claims asserted in a legal forum, including but not limited to civil courts, tribunals, and agencies. Investigate and respond to charges asserted by U.S. state and federal agencies, including the FTC, NAD, State Departments of Consumer Affairs and other similar agencies. Assist in the negotiation and drafting of various commercial contracts, including international distribution agreements, vendor agreements, consulting agreements, procurement agreements, confidentiality agreements, etc. Advise on attendant regulatory matters, FTCA, Jewelry Guides, FTC endorsement / social media guidelines, hallmarking, consumer-facing country of origin requirements and other similar regulatory and compliance matters.

Qualifications: JD Degree from accredited law school. Admission to NY or other state Bar, registered as in-house counsel in NY. 5-7 years of professional experience with a law firm and/or in-house corporate legal department focusing on intellectual property /advertising/ data privacy. Some in-house experience in a retail environment preferred. I.P., Advertising/Digital Media and Data Privacy experience. Computer literacy: Word, Outlook, Excel. Outstanding writing and communication skills. Outstanding organization and prioritization skills. Ability to take direction but work independently. Ability to use good judgment and to maintain confidentiality of information. Attention to detail. Excellent interpersonal, teamwork and internal client and time management skills. Ability to deliver complex legal advice in a comprehensive and business-friendly manner.
