Director, Real Estate Counsel The candidate will draft, review and negotiate letters of intent, leases, sublease agreements, guaranty agreements, license agreements, easements, operation and maintenance agreements, purchase contracts and otherdocuments with national and regional landlords which are required to implement the company s multi-state real estate strategy for new stores and for the renewal rights for existing stores. Will review and assess the legal and business effect and risk of due diligence documents, including, title, survey, environmental reports and zoning letters and propose and implement solutions to deal makers and management for acceptable risks. Coordinate lease, acquisition and other real estate transactions, including advising management with respect to the risks of a transaction; identifying and analyzing the relevant issues; engaging and coordinating business representatives; negotiating consensus; and drafting appropriate documentation. Provide legal and business advice to management regarding a variety of legal issues including property acquisition, lease administration and enforcement issues, recoveries, breach of contract, tenant rights, construction matters, zoning, condemnation, bankruptcy, and litigation management. Manage related litigation and outside counsel. Manage and advise outside counsel on various matters in their representation of , and engage outside counsel for advice and counsel regarding environmental, ADA and other matters. Identify the need for new initiatives and participate in developing real estate and legal policies, procedures and initiatives, e.g. right-of-first refusal process, due diligence review, form contract drafting and revision, and responding to changes in market conditions and governmental requirements. Should have 10 years of legal experience, including 7 years of experience in real estate and retail leasing. Must have Juris Doctorate. Should have admission to practice and good standing status in the state of Tennessee or admission to practice and good standing to practice in any state with application to TN Board of Law Examiners under Rule 7. Must have knowledge of real estate documents (e.g. deeds, ground leases, utility contracts, etc. Proficiency using Microsoft Office, particularly Word and Excel required.
