Contracts Attorney The candidate responsible for managing the contract and RFP (Request for Proposal) process. Draft, negotiate, and review professional, vendor, licensing, consulting, and other agreements for the company. Review complex agreements and negotiate favorable terms for the company. Research and anticipate and guard company against legal risks. Review solicitations, RFI s and sources sought in order to prepare routine and complex responses for proposals, bids, and contract modifications. Serve as the subject matter expert on contractual requirements, special provisions, terms and conditions to ensure company compliance, implementation and development of company strategy. Receives and processes all major requests for proposals for the business. Creates statements of work (SOW) and negotiates terms and conditions and contract amendments for customers (hospital and surgery centers). Writes and creates contracts and agreements. Prepares and processes filing procedure for various licenses and trademarks as needed. Works closely with product managers, senior & executive management, managers and salespeople to accomplish projects. Serves as the lead in contract negotiations with customers while advising senior leadership on matters concerning multiple functional areas in order to facilitate contract awards in the best interest of the company. Facilitates phone conferences and internet conferences for RFP reviews and customer negotiations. Manages implementation and administration of the Customer Relations Management System (CRM). Adheres to all company policies, procedures and business ethics codes. Other duties as assigned.

A valid state Bar license required (J.D.); CA Bar membership required. RFP/RFI Certification desirable. 3 years previous full-service RFP/RFI and contracts experience is required. Sshould have exemplary writing skills. Must have knowledge of RFP/RFI metrics, processes and procedures. Should have knowledge and experience with HIPAA. Must have proven background in corporate law or relevant contracts experience preferably in healthcare or medical device industries. Previous regulatory experience required. Should have excellent negotiation and communications skills. Must have excellent verbal and written communication skills,
