Job Description ABOUT THE ROLE As a newly public company, Guardant Health, is seeking an experienced and exceptional corporate securities attorney who will be responsible for supporting all aspects of our life as a public company. Your focus will be on handling securities compliance and corporate governance matters. This position is based in our Redwood City, CA headquarters, and will report directly to our General Counsel. POSITION DUTIES Responsible for drafting and submitting SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s and Section 16 filings. Provides substantive legal counsel to senior management on issues related to corporate securities offerings, insider trading policies, public company governance, and public securities regulatory filings. Assists in preparing corporate governance matters, including the preparation of Board and Committee materials, policies, and charters. Collaborates with our Finance and Marketing teams on external communications such as earnings releases and press releases. Anticipates and identify changes in relevant laws and regulations, and develop and implement recommended actions. Ensures compliance with SEC and (NYSE or Nasdaq) rules and regulations Qualifications Qualifications Juris Doctor degree 5+ years of legal experience handling major corporate transactions and/or corporate securities matters, preferably within a healthcare, pharmaceutical, or biotechnology company or representing such clients in a top tier law firm Significant experience working with auditors and regulators Experience drafting annual and quarterly reports to be filed with the SEC Expertise in the 33 and 34 Act Extensive knowledge and understanding of US securities laws Organized, meticulous and thorough Possess strong strategic thinking and problem-solving capabilities. Ability to prioritize and drive to results with a high emphasis on quality High ethical standards; ability to maintain the confidentiality of non-public corporate information Ability to work successfully in cross-functional teams.
