Corporate Risk & Compliance Counsel #3655 Add to Bookmarks Refer a Friend Share Charlotte, NC Functional Group [Function] Legal Full-time Full-time Posting Location Requisition Number 3655 Area of Interest Legal City Charlotte Job Description JOB SUMMARY: The Corporate Risk & Compliance Counsel will be a member of the Legal Department who will lead Toshiba America Energy Systems (TAES) Corporation's insurance risk management functions, including evaluating risk, providing risk oversight and analysis, working with leadership, field operations and insurance companies to identify, review, mitigate and monitor internal and external risks, and monitor and facilitate proper implementation and ongoing operation of insurance policies related to risk. In addition to risk and compliance, this role will support overflow commercial work from other counsel and the Contract Manager. RESPONSIBILITIES: Risk Management (60% of Time): Lead Toshiba America Energy Systems (TAES) Corporation's insurance risk management functions, including evaluating risk, providing risk oversight and analysis, working with leadership, field operations and insurance companies to identify, review, mitigate and monitor internal and external risks. Monitor and facilitate the proper implementation and ongoing operation of insurance policies related to risk. Primary duties and responsibilities of this role will include (1) insurance program management, (2) claims management, and (3) support to the finance and accounting team in regard to Letters of Credit and Bonds management. Risk Management includes the following activities: 1) Insurance Program Management: a) Manage all facets of the TAES insurance risk management function, including procurement and maintenance of project-specific insurance policies and risk mitigation to ensure financial protection of assets and reduce and control risks. b) Liaison with Toshiba parent companies and affiliates for placement of corporate-wide insurance policies. c) Coordinate with Toshiba parent company and affiliates to ensure timely placement of renewals and/or new insurance products. d) Evaluate and assesses the type of project-specific insurance product to be purchased and compile required underwriting information and applications. e) Analyze and advise regarding financial risks of the various coverages. f) Manage risk audits by the insurance carriers. g) Establish and maintain standard contract insurance requirements; review proposed contracts and analyze contractual insurance risks prior to contract approval. h) Provide training to TAES employees on risk management. 2) Claims Management: a) Lead claims management process from time of initial reporting to final closure of claim (in close working relationship with other members of legal department, human resources, and business unit leads). b) Establish, monitor and ensure compliance with claims management practices. c) Report insurance exposure, claims and statistics to senior management. d) Work closely with other departments and business units to establish procedures for delivery of claim information (i.e., reports, investigation, and analysis). e) Direct the claims management program to ensure the proper and efficient handling of claims in accordance with standard and internal claims handling best practices. f) Establish and maintain relationships with adjusters, outside legal counsel, and other claims-related parties. g) Assess all decisions made by third-party claim administrators to ensure accuracy and consistency Compliance Management (25% of Time): In addition to managing the TAES insurance risk program, this role will be primarily responsible to support Toshiba America Energy Systems Corporation's regulatory compliance, permit, and licensing processes and procedures. Key duties and responsibilities of this role will include: 1) Support paralegal on all facets of the Company's licensing process, including the application, maintenance, and renewal of various business, engineering, construction, and specialty licenses which are required by law and/or regulatory process to be obtained for TAES to conduct business in various states and, as necessary, foreign jurisdictions. 2) Prepare applications and correspondence with various licensing boards, including DOE, COE, BLM, and various state boards and agencies to obtain and maintain licenses for engineering and construction project activities. 3) Interface with various regulatory bodies and licensing boards to ensure compliance with federal, state and local licensing laws and regulations. 4) Track and report on license application status, renewals, amendments and allegations of non-compliance and perform other administrative tasks necessary to ensure licenses are in good-standing. 5) Coordinate with Company business units and human resources to identify qualified employees who may serve as license holders for license applications. 6) Serve as liaison with Company business units to proactively identify licensing needs for new projects and new bid opportunities. 7) Enhance communications among business units, legal, finance, HR and other functions to ensure compliance with all federal and state licensing requirements. 8) Communicate technical and commercial information, concepts, and ideas verbally and in writing to licensing boards and regulatory bodies. Contract Management Support (15% of Time): In addition to risk and compliance, this role will support overflow commercial work from other counsel and the Contract Manager. Key duties and responsibilities of this role will include: 1) Contract Review: a) Liaison with business units, supply chain, and other counsel to timely review incoming contracts. b) Assure Terms and Conditions are understood by business units and acceptable for work. 2) Dispute Resolution a) Assist business units to resolve disputes and preserve causes of action. TRAVEL: Approximately 25% as needed EDUCATION AND TRAINING: Juris Doctor from an ABA accredited law school and licensure in at least one state jurisdiction required; preferably North Carolina or Wisconsin. CERTIFICATIONS AND LICENSES: Member of the bar. Certifications in CPCU, ARM, CCEP and other insurance, risk management, or compliance disciplines will be viewed favorably. Working knowledge of insurance policy terms and coverages, loss prevention and claims management process. Strong fundamentals in finance and a technical ability to understand insurance policies. Excellent verbal and written communication skills. Ability to function as an effective member of the legal department to support risk management, compliance, and contract efforts. Demonstrated ability to develop and maintain productive working relationships across organizational boundaries to elicit information, credibly advise, and effectively influence. Demeanor that reflects personal integrity, initiative, flexibility, responsiveness, and confidentiality in all areas of responsibility. Demonstrated ability to focus on details while maintaining the broader overall perspective. Demonstrated problem solving and decision making skills. Ability to multi-task and change from one task to another without loss of efficiency or composure. Desired Qualifications Direct experience working for an insurance company, insurance broker, underwriter or claims adjusters on corporate insurance risk matters. 5+ years of business experience, preferably in an insurance risk management setting. Basic knowledge of insurance laws and regulations; ability to negotiate commercial contract terms. Direct experience with completing engineering and construction licensing applications. Commercial experience in the energy sector. Proficient with Microsoft Office Suite: Outlook, Word, PowerPoint and Excel. Experience working with overseas operations, preferably for a U.S. subsidiary of a foreign parent corporation.
