Corporate Counsel :: 2+ to 5 Years APPLY SAVE QUICK APPLY Irving, TX Position Type FULLTIME Requisition ID 6538 Level of Education 4 Year Degree or equivalent Years of Experience 2+ to 5 Years Job Description Exela Technologies is looking for a corporate generalist attorney who can support a variety of commercial transactions, corporate securities matters, compliance programs and litigation. This position will be responsible for providing effective and responsive counsel to business unit colleagues and collaborating with other members of the legal team to to support a wide range of initiatives. The position reports to the Deputy General Counsel, but will interact directly and frequently with business leaders and sales people. The successful candidate will demonstrate capabilities in anticipating legal issues, accepting and effectively resolving sensitive topics and handling difficult situations diplomatically and possess the ability to work successfully both independently and as part of a team. Key responsibilities include: Draft, review, and negotiate a wide range of commercial contracts with clients and vendors, including customer facing master service agreements, NDAs and strategic sourcing agreements Support with SEC reporting requirements, general corporate governance matters and management of corporate records Support mergers and acquisitions, joint ventures, and other growth-oriented transactions Collaborate with other departments, including accounting, finance, tax, treasury, investor relations, communications and HR and advise business unit clients regarding various legal matters and potential disputes Respond to demand letters and conduct related investigations; draft litigation hold letters as needed; assist in HR complaints and lawsuits; attend to internal complaints leading to potential litigation; manage litigation with outside counsel; perform necessary internal investigations in response to litigation; assist outside counsel with conducting and organizing discovery as needed; actively participate in all depositions, settlement conferences and mediation Evaluate and act on compliance needs, identifying and analyzing legal issues and risks, and support legal compliance across the full spectrum of legal issues facing the company Required Qualifications: Juris Doctorate from an ABA-accredited law school licensed to practice law in at least one state 3 to 4 years of legal practice at reputable law firm, preferably in corporate transactional practice with experience related to commercial transactions and contract drafting, SEC reporting requirements and corporate compliance; and familiarity with contract and transaction lifecycle for corporate service-industry (but also willing to consider the right litigation associate who wants to make a change) Self-starter with ability to work hard and on a broad variety of legal matters in a fast paced, complex environment handling multiple tasks concurrently and under deadline pressure Unwavering integrity, sound business judgment, clear communication skills and strategic thinking with a consultative approach and customer service attitude A team player, capable of working effectively on both a collaborative basis and independently, with the ability and understanding of how to operate in a dynamic, multi-cultural organization with a diverse portfolio of clients Superior verbal, written and interpersonal communication skills; highly analytical, articulate, and motivated with exceptional attention to detail Strong competency in drafting and negotiating a broad range of contracts and a willingness to learn and work in areas of less familiarity Excellence with the tools of our trade; demonstrated ability in the use of word processing, spreadsheet, database and communication software applications Executive presence capable of generating a high degree of respect and trust rapidly from team members, as well as the various business units and management Ability to sit for extended periods of time without much movement All candidates must have the ability to speak, read and write English Work Environment The work environment characteristics described here are representative of those an employee encounters while performing the essential functions of this job generally in an office setting, but may include travel outside the office, including on a commercial carrier. The noise level in the work environment is usually moderate. This position requires working in our Stamford, Connecticut or Irving, TX offices during normal business hours for a minimum of 40-hour week, five days per week.
