Compliance Counsel Responsibilities: Review, draft and implement corporate compliance and governance related policies, communicate and manage training related to such policies. Identify, implement and manage compliance related tasks and functions working with other internal stakeholders, including finance and IT. Promote awareness and understanding of ethical and compliance related principles, consistent with company policies and applicable laws. Monitor and assess compliance with applicable policies. Work with external counsel and auditors to address complex compliance challenges. Assisting with all general corporate and transactional matters, and other legal tasks that may arise in a fast paced, growing, public, technology company. Review, negotiate and draft contracts, agreements for sales, distribution, professional services and customer support, review and advise on non-standard terms and conditions of sale that may be proposed. Provide responsive and quality work to all clients ensuring that Legal is brought in regularly and early in all appropriate matters so as to effectively identify and address areas of risk to the business. Participate in pro-active planning by providing advice regarding the most effective use of legal strategy to support and protect the business, governance and compliance matters, revenue recognition matters and other internal processes, policies and procedures. Taking part in the creation and maintenance of foreign subsidiaries, branch offices and related matters. Requirements: 4+ years' experience in a comparable in-house licensing and/or technology environment, or relevant private practice, including direct compliance and governance related responsibilities. Experience working within a sales and finance environment and working directly with sales and finance professionals. Must have strong business acumen, strong written and verbal communications skills and strategic decision making skills. Leadership skills and strong ethical values. Working knowledge of the software sector or practical knowledge of IT products and their respective contracts is advantageous.
