Corporate Counsel Duties: Research and provide advice on issues regarding ANCSA lands and shareholder issues. Review, revise, draft and negotiate contracts and related documents and provide advice to businesses regarding potential risks. Assist in maintaining registration, licensing and legal compliance of existing corporations, limited liability companies, limited liability partnerships and joint ventures. Oversee litigation. Oversee the work of outside counsel. Provide advice and guidance on real estate transactions; draft and review leases, and other documents relating to the lease and use of real estate. Review, revise and draft corporate policies and procedures. Review, revise and draft board resolutions and corporate governance documents. Provide general legal advice and guidance to NDC Companies relating to corporate, contract and commercial transactions. Create and deliver presentations, educational programs and workshops to employees and others. Keep abreast of issues and developments in legal specialty areas by reading journals, attending professional conferences, and conferring with colleagues. May lead, guide, and/or train legal department staff and student interns. Perform miscellaneous job-related duties as assigned.

Qualifications: JD Degree from an accredited law school. Member of the Alaska Bar, or a Bar in a state with ability to waive into the Alaska Bar within 5 years. 5+ years of experience and knowledge in one or more of the following: Federal Indian Law (with focus on ANCSA, particularly lands issues), contracting, construction, engineering, environmental, transactional law, commercial real estate, or related fields. Knowledge of current trends in corporate governance helpful. Advanced Microsoft Office skills (MS Word, Excel, PowerPoint, Outlook, etc.). Ability to review and draft fundamental corporate documents, including articles of incorporation, bylaws, shareholder agreements, limited liability operating agreements, partnership agreements and joint venture agreements. Ability to provide guidance on ANCSA lands issues. Ability to review and understand real estate leasing documents. Ability to review, draft and negotiate contracts. Ability to research and report on state laws governing the practice of engineering, architecture, land surveying, or related field of professional service. Ability to perform legal research in timely manner. Ability to write legal documents that are persuasive and readable. Ability to demonstrate skill in organizing resources, establishing priorities and balancing competing demands. Ability to develop and deliver presentations, educational programs and/or workshops in areas of legal expertise. Appreciation and respect for Inupiaq culture and values.
