Corporate Counsel - Contracts Responsibilities: Act as lead counsel for all vendor and supplier contracts and NDAs, including analyzing, structuring, drafting and negotiating agreements and amendments, including in particular, SaaS agreements and software license agreements. Work closely and collaboratively with business owners from across the organization, and partner with the Procurement team to ensure that the Company s contract review process is efficient and effective. Ensure that legal objectives and standards are properly reflected in the Company s contracts and consistent with the Company s risk standards. Address and resolve open issues and disputes with third parties. Draft and revise form agreements, including master services agreements and NDAs. Provide training, legal guidance and support to contract managers. Assist with developing and improving contract management system. Deliver legal advice to internal stakeholders in a timely manner. Review and advise on the Company s use of open source and third party intellectual property and on related licensing issues. Provide expert level advice and guidance to Endurance management and team members on other legal matters, including privacy, security, intellectual property, marketing and consumer protection. Stay abreast of and advise on relevant policy and legal issues affecting the internet and the Company s relationship with its suppliers, including for example the EU General Data Protection Regulation. Contribute toward building a positive, collaborative work environment, building partnerships through teamwork and business-focused communication.

Qualifications: JD Degree and Massachusetts state Bar membership. 5+ years of corporate, IP and/or commercial transactional legal background, preferably at a major law firm and in-house. Strong transactional and general business and commercial law experience, including drafting, negotiating and enforcing commercial contracts. Background in technology and/or computer science a plus. Experience in building processes, procedures and controls cross-functionally in fast paced environments. Ability to build trusting partnerships with managers and executives and contribute to matters of strategic relevance. Self-starter and results oriented, with strong attention to detail and the ability to initiate and adapt to change. Highly effective negotiation and dispute resolution skills, solid business instincts and judgment. Strong analytical capabilities, creative and flexible problem-solving skills and decision making ability. Ability to juggle multiple projects and deadlines with ability to drive matters to timely resolution.
