Corporate Counsel Duties: Management, review and/or negotiation of contract renewals, terminations and amendments for the various types of contracts referenced above. Serve as a trusted advisor to various business units regarding contractual interpretation, rights, and dispute resolution. Establishing template contract documents for the various types of engagements that ensure a consistent application of company best practices and compliance, particularly in areas such as insurance, service level agreements and subcontractor utilization will be a priority Working directly with business teams, serving as lead counsel on strategic contracts, providing day-to-day advice, resolving issues that arise in existing commercial relationships, and handling inquiries. Identify legal risks, develop mitigation strategies and counsel internal clients with respect to legal risks and mitigation strategies Review, analyze and provide legal advice in connection with requests for proposals issued by government authorities for the provision of information technology goods and services. Research and analyze various legal questions and advise the General Counsel regarding the same. Qualifications: JD Degree from an accredited law school & a member in good standing of any U.S. state Bar. 3+ years experience with corporate transactions including drafting and negotiating commercial or government contracts. In-house experience is a plus. Strong written and oral communication skills Must be team-oriented and have the ability to lean quickly and work in a fast-paced environment Self-motivated with outstanding interpersonal skills and the ability to communicate complex concepts and issues effectively with all levels of management. Ability to work independently while being able to contribute successfully to cross-functional teams. Customer-oriented interpersonal skills, excellent business judgment and a proven ability to excel working with multiple clients.
