SVP, General Counsel & Corporate Secretary Responsibilities Provide legal advice and support as follows: Report to the executive team on all legal matters affecting company. Serve as a member of company s senior leadership team and provide strategic counsel on legal, business, and operational matters. As Corporate Secretary, attend Board meetings, Committee meetings, and Shareholder meetings. Negotiate and draft complex agreements and finance structures. Provide sound legal advice on issues affecting existing and future business and clearly identify opportunities to add value and mitigate risks. Represent company s legal interests and provide assurance of strong corporate governance and general legal housekeeping. Provide prompt and practical commercial legal advice to company s various business segments to facilitate, improve, and strengthen operational decision-making. Collect, organize, and present market intelligence on the legal issues affecting company s business. Identify current and upcoming legal, regulatory, and related compliance risks specific to the business and industry. Support HR and Finance on employee matters (e.g., employee agreements, consulting agreements, employee benefits, stock options, employee relations, and other employment issues). Review and draft contracts, policies, compensation plans and employee handbook as needed. Leadership of company legal team - hiring, allocating work, developing talent, fostering collaboration and consistent standards and managing performance. Management of outside law firm work and expenses. Advising Board and executive team on public company corporate governance, fiduciary duties, proxy advisory firms, and activist investors. Preparing agendas, resolutions, and materials for Board and Board committees (especially Nominating & Governance and Compensation Committees) and meeting minutes. Negotiating and managing M&A deals. Negotiating and managing credit agreement and capital markets transactions. Developing, implementing, and overseeing the company compliance program, including updating Code of Conduct and policies, investigating whistleblower reports, and implementing and conducting company-wide training. Advising on commercial contracts negotiation, interpretation, and disputes. Overseeing litigation - strategy and management. Overseeing privacy and compliance laws globally. Advising on labor/employment to HR and benefits team. Overseeing global legal entity management and international regulatory filings. Overseeing SEC reporting (with financial reporting and IR teams) - 10-K, 10-Qs, 8-Ks, Section 16 and annual proxy statement. Overseeing NYSE compliance and filings and ensuring compliance with Reg FD and insider stock trading guidelines. Managing company IP portfolio (trademarks, copyrights, patents). Staying current on laws and regulations impacting the company, and keeping colleagues apprised of developments. Strategizing with product groups and drafting comments and responses to agencies and regulators, including DOJ, FCC, state PUCs, CRTC and other state and local governments. Responsibility for governance/compliance SOX controls and correspondence with auditors with respect thereto. Retaining and managing outside counsel and other legal service providers. Building and leading the legal team, including conducting all legal meetings.

Qualifications: JD degree from American Bar Association (ABA) approved law school. Member in good standing in at least one State Bar. Willingness to sit for Colorado Bar exam if required. 15+ years of corporate experience required at either a law firm or in-house. Experience preferred: Public company Telecommunications Real Estate Investment Trust (REIT) - conversion and legal compliance Experience negotiating large contracts. Feels a sense of urgency and embraces success. Possesses the highest of ethical standards. Possesses strong analytical and problem solving skills. Strong attention to detail. Excellent verbal and interpersonal skills. Strong organizational skills, including management of projects and workload, identifying priorities, setting goals, and reporting on results. Team player and able to work cooperatively with others, including business people and outside counsel, to find practical and creative solutions, especially when under pressure. Demonstrated ability to effectively represent a company before federal regulators including the SEC, IRS, DOJ, FTC, FCC, CRTC and various state and local regulators. Incisive thinker who moves fast, develops new models, is able to make and stick to tough decisions and likes to get things done. Leadership experience demonstrating a capacity to drive projects, direct others, lead team, advise and deliver. Computer and software systems experience, including Google/G Suite, and Salesforce (not required but a plus). Prior experience successfully operating in a fluid and entrepreneurial environment.
