Senior Corporate Counsel The candidate assists the General Counsel in handling significant real estate transactional work and management of the company s legal affairs with respect to leases, acquisitions, sales, financing and litigation. Commercial Leasing and General Real Estate Contracts: Review, negotiate and draft commercial leases, easements, license agreements, guaranties, management agreements, construction contracts, service agreements, listing agreements, escrow and disbursing agreements, tenant financing waivers, tenant estoppels, subordination agreements, lodging contracts, and all other types of real estate related contracts. Provide direction and guidance to the in-house paralegals as necessary. Property Acquisitions and Sales: Responsible for coordinating and managing closing of real property acquisitions and sales. Review, negotiate and draft purchase agreements, closing documents, closing statements, title commitment mark-ups and pro-forma title policies. Prepare pre-closing and post-closing acquisition/sale checklists and monitor and assist in timely completion of checklist items. Research zoning compliance as needed. Property Management Legal Support: Act as a resource for legal questions pertaining to residential and commercial property management. Assist in enforcement and settlement of contract defaults and disputes. Review contracts to determine nature of defaults and remedies of the parties. Review, prepare and send default notices. Negotiate agreements to resolve contractual disputes, including drafting contract amendments, settlement agreements, stipulations, promissory notes and guaranties. Litigation, Evictions and Collections: Commence and prosecute commercial unlawful detainer actions and conciliation court actions. Draft demand letters for delinquent tenants and assist the with collection efforts. Monitor the status of litigation matters handled by outside attorneys. File property tax appeals. Retain and manage outside counsel as necessary. Client Satisfaction: Maintain and develop internal and external customer relationships through effective communication and responding to requests in a timely and professional manner. Self/Workload Management: Responsible for effective self/workload management. Demonstrates clear written and verbal communication skills, including excellent drafting skills. Promotes collaboration and positive, professional work environment. Attends all daily, weekly, and/or monthly department/company meetings to ensure proper communication/planning occurs. Adheres to all CSM Standard Operating Procedures.

The candidate should have Bachelors Degree and Law Degree required. Should have 3 - 6 years of significant real estate transactional experience at an established law firm or real estate development company. Must have excellent verbal and written communication skills. Should have proven ability to manage multiple priorities and meet deadlines. Experience in identifying potential legal and business issues is required. Proven ability to build relationships across all levels of an organization is needed.
