Senior Counsel - Real Estate The candidate will be responsible for advising on real estate-related legal issues as Recurrent Energy continues to expand its presence in the utility-scale, solar photovoltaic (PV) and storage markets throughout the U.S. Will support the Sites, Permitting, Development, Construction, Finance, and M&A teams through the full cycle of Recurrent Energy s solar development projects, including by reviewing site opportunities, securing land rights, permits and entitlements, managing lender real estate due diligence, and negotiating land sale transactions. The Senior Counsel will also have opportunities to work on non-real estate legal matters. Assist with legal efforts relating to Recurrent Energy s site acquisition activities, including negotiating and drafting lease option and purchase option agreements, leases, easements, and mineral rights agreements. Identify and resolve title issues and negotiate and obtain title insurance policies and endorsements. Work closely with Recurrent Energy s Permitting team on land use, permitting, and environmental matters. Assist with financing and M&A transactions, including by performing due diligence on site control documents, permitting documents, and title matters. Manage outside legal counsel. Assist with various corporate and governance matters. Assist with various other legal matters relating to the development, construction, and operation of utility-scale solar PV energy projects in a dynamic and fast-paced environment.

The candidate should have U.S.-credentialed law degree from a top-tier ABA accredited law school. Must have 5 years of substantial legal experience in real estate transactions within a top-tier law firm and/or corporate legal department. 7+ years preferred. Must have experience leading real estate components of complex transactions and supervising junior attorneys and/or outside counsel. Substantial experience working on utility-scale, solar PV projects preferred. Must have ability to draft and negotiate real estate purchase and sale agreements, option agreements, leases, easements, and mineral rights agreements. Must have working knowledge of title insurance and endorsements in multiple jurisdictions within the U.S. Must have working knowledge of project financing and M&A structures. Ability to review and negotiate real estate components of debt and M&A agreements. Must have familiarity with construction issues and contracts preferred, including with respect to mechanics liens, lien waivers, bonds, health and safety matters, permit compliance, and decommissioning. Familiarity with power purchase agreements and other project contracts (e.g. interconnection agreements, EPC agreements, shared facilities agreements) preferred. Working knowledge of utility-scale, solar PV market in the U.S. Preferred..
