Private Funds Counsel (Real Estate) The candidate will provide legal advice and support in connection with the structuring, launch and ongoing operations of private real asset funds and accounts, including drafting and reviewing offering memoranda and constituent documentation. Coordinate private real asset transactions. Draft and negotiate investment advisory and sub-advisory agreements, side letters, limited partnership agreements, subscription agreements, detailed term sheets, joint venture agreements, asset management agreements, purchase and sale agreements, transfer agreements, service provider and other agreements. Provide advice on legal and regulatory issues relating to private funds, SEC-registered investment advisers and CFTC rules and regulations relating to commodity pool operators and commodity trading advisors. Perform legal documentation reviews of third party real asset funds, co-investments and joint ventures and advise investment team on key legal and regulatory issues. Negotiate and review revolving credit facility documentation. Perform legal documentation review in connection with the formation of special purpose vehicles relating to direct real estate investing, including the review of board materials prepared by external counsel. Review and comment on disclosure for marketing materials, RFPs, commentary and other investor communications. Should have JD degree and license to practice law in the U.S. (with subsequent New York Bar membership or certification as Registered In-House Counsel). Must have 3+ years of experience as an attorney in the investment management area, preferably with direct experience in private fund formation and/or real assets. Experience in transacting private real estate investments a plus. Must have experience with laws and regulations under the Investment Advisers Act of 1940, Securities Act of 1933, Commodity Exchange Act and the European Union Alternative Investment Fund Managers Directive.
