Commercial Contracts Attorney The candidate will responsible for contract support for the GBD and OEM teams, and provide contract support for other parts of the firm. In addition, the Commercial Contracts Attorney will be a key player in all aspects of the transaction legal team's work. Draft, review and support the negotiation of all types of agreements, including but not limited to intellectual property licenses, collaboration agreements, manufacturing and distribution agreements, OEM agreements, confidentiality agreements, material transfer agreements, and master supply agreements.Prepare, monitor and periodically review terms and conditions for all types of routine contracts of adhesion (e.g. website sales, software EULAs, freezer programs, marketing campaigns, drawings and sweepstakes, purchase orders, etc.). Identify and implement practical business solutions to achieve organizational goals. Lead projects to implement best practices within the Legal Department and other internal clients, including review and update of contract processes, contract automation, and all legal templates and playbooks. Manage outside counsel for major projects and litigation as directed by the General Counsel. Provide strategic advice to the General Counsel, the Executive Team, the Global Business Development Team, and other leaders within the Company to accomplish business objectives. Advise the internal clients on the legal risks accompanying business strategies, and implement best practices to manage those risks. Assist the Director of Human Resources with internal investigations and employment law matters, as directed by the General Counsel. Advise the Executive Team and the CEO on strategic matters, as directed by the General Counsel. The candidate must have Juris Doctorate Degree from an accredited law school. Must have minimum 10+ years of experience in contracts law, with at least 2+ years of law firm experience and in-house experience preferred. Minimum 5+ years of experience drafting and negotiating commercial agreements is required. Should have minimum 5+ years of experience drafting and negotiating technology licenses. Must have the ability to work interactively within and across multiple departments and manage priorities effectively. Should have excellent oral and written skills with the ability to think critically and work independently. Experience in working with biotechnology or pharmaceutical companies strongly preferred. Experience designing and managing systems and software to automate contract negotiating strongly preferred. Experience in drafting and negotiating international commercial agreements preferred. Experience in preparing software licenses, including end-user license agreements, preferred.
