Associate Counsel - Securities and Corporate Governance The candidate will join the Securities and Corporate Governance Law Unit and provide legal support on licensing and regulatory matters, as well as SEC reporting, corporate governance and other general corporate matters. The attorney will oversee cross-functional insurance company licensing initiatives; liaise with Government Affairs on critical regulatory matters; lead legal support of statutory financial reporting; provide legal support on subsidiary governance; and develop into a Holding Company Act legal expert. The position will ultimately assume the role of Subsidiary Corporate Secretary, responsible for all aspects of subsidiary governance and licensing. The position will also work with members of the Securities and Corporate Governance Law Unit to provide legal support to corporate finance, treasury, marketing and communications, and human resources, including on matters related to SEC filings and disclosure. The position report to the Associate General Counsel, Head of the Securities and Corporate Governance Law. Provide legal support of various licensing initiatives to ensure appropriate resources are deployed and prioritization assigned. Oversee preparation of licensing applications, renewals and correspondence with departments of insurance, leading a team of Legal Specialists engaged in such efforts. Liaise with Government Affairs on all corporate matters pertaining to regulated entities. Lead engagement with departments of insurance on significant intercompany arrangements or financial transactions. Lead legal support provided to Statutory Financial Reporting, including preparation of financial statement disclosures, responses to general interrogatories and other inquiries from departments of insurance. Lead legal support in connection with statutory financial examinations. Supervise the preparation and filing of all Holding Company Act filings. Assist in the preparation of SEC filings, including The Hartford s annual and quarterly reports (Forms 10-K and 10-Q) and proxy statement, as well as other periodic and current reports. Support corporate finance and investor relations in connection with earnings announcements and other investor communications and engagement initiatives. Provide legal advice to ensure compliance with SEC and New York Stock Exchange requirements. Provide legal counsel on a diverse range of matters related to corporate governance and operations of the Company. Conduct environmental scans of new laws, regulations and industry trends affecting the Company, and assist with the development of policies and trading as needed.

A Juris doctorate (J.D.) and CT Bar license or Connecticut Authorized House Counsel status required or must be obtained. Must be able to lead complex projects and rapidly identify key issues. Should have excellent verbal and written communication skills. Must have experience analyzing legal issues and developing recommended positions to resolve issues efficiently. Must be able to deal directly with, and has the confidence of, management. Understanding of state insurance laws and regulations a plus. 2-4 years relevant law firm or in-house experience is required. Experience in Corporate Law or Insurance Regulatory Affairs a plus.
