Corporate Counsel The candidate responsible for assisting with the legal aspects of Nuance s Corporate and Real Estate activities with a focus on experience in M&A transactions, SEC/'34 Act filings and general corporate law. Advise and support mergers, acquisitions, and divestitures, both domestic and international, including all aspects of due diligence; drafting and negotiating confidentiality agreements and transaction agreements and documents; and assisting with closing process (including government, third-party and internal approvals); Developing solutions to improve the efficiency of the M&A process; Provide M&A post transaction and integration support; Assist with drafting, reviewing, and providing legal advice on required SEC/'34 Act filings; Work on ad hoc legal projects, including but not limited to financing activities, research, and the development new policies, templates and processes, and other legal, compliance, and regulatory matters; and Provide general real estate support and advice, manage, and draft, review and negotiate real estate documents. Perform tasks related to securing and keeping the products, tools, and processes that are responsible for securing. The candidate should have J.D. Must have 8 years of work experience. Should have J.D. degree with approximately 3-5 years of directly relevant corporate, M&A, and SEC/'34 Act legal experience, especially with public companies at a law firm or large public company. Business-oriented approach to problem solving, tempered by an appreciation for legal complexity and risk is preferred. Superior legal and analytical skills excellent judgment and initiative in selecting the most effective solutions is desired. Should have excellent collaborative, communications and negotiation skills
