Associate General Counsel - Contracts The Candidate will be responsible to review contracts and commitments assigned to attorney in the Company s contract management system. Negotiate, draft, advise on and approve agreements and contracts. Ensure that contracts and commitments conform to the Company s required standards, including anti-corruption, anti-money laundering, related laws and compliance guidelines before approving. Assist operational departments in translating the Company s objectives in any financial commitment into effective and enforceable contract language. Review all contractual materials to ensure compliance with legal requirements. Offer counsel on a variety of legal issues. Manage various projects and deadlines. Research unique legal issues involving the organization by identifying applicable statutes, judicial decisions, and codes and keep abreast of legislative changes that may affect the Company and its affiliates. Perform pre-litigation work to minimize risks and maximize legal rights. Develop solutions to complex legal questions. Provide training to the Company and its affiliates on substantive legal topics. Attend regular attorney meetings. Draft, review, interpret and negotiate a variety of contracts and agreements for Company s operational departments and affiliates. Analyze and summarize complex documents and provide advice on legal issues, operational and transactional matters. Prepare legal memoranda and research legal issues. Interpret laws, rulings, and regulations. Able to juggle and manage a barrage of competing priorities, demands and tasks. Remains unflappable - maintains poise and composure.

The candidate should have proof of authorization/eligibility to work in the United States with a Juris Doctor or equivalent, as well as membership in at least one State or D.C. Bar. Must hold a Nevada law license or be eligible for a Nevada in-house license upon hiring and had 3-7 years of sophisticated commercial contract experience gained at a top-tier law firm or equivalent experience; in-house experience a plus. Excellent written and spoken communication skills, with strong drafting and negotiation skills. Strong analytic and problem-solving skills. Good working knowledge of IT environment and security, privacy and cloud based services, and intellectual property and commercial contracting. Must possess extensive knowledge of business and the ability to work collaboratively and communicate with the Company s management team. Strong interpersonal skills with the ability to communicate effectively with guests and other Team Members of different backgrounds and levels of experience. Must be able to work varied shifts, including nights, weekends and holidays.
