Director Corporate Counsel

Director Corporate Counsel The candidate will provide solutions oriented, proactive, high quality, legal advice and counsel on a wide variety of matters, with a particular focus on regulatory matters, business development and corporate and commercial matters, including rates and other regulatory filings and hearings, and business development deal structure, document drafting, due diligence, negotiations and corporate governance matters. These duties extend to real estate transactions (purchase, sale, and easements), engineering projects and environmental matters, as well as negotiation of franchise agreements. Direct, participate in and assist in judicial and administrative proceedings, with responsibility for specific items or entire proceeding as appropriate. Such matters include but are not limited to utility commission and department of environmental protection proceedings, general litigation, mediations, arbitrations, administrative hearings, and other dispute resolution proceedings. Provide legislative/regulatory evaluations and advice, including the drafting of proposed legislation or changes thereto and providing explanation of the organizations position on such matters for legislators and governmental stakeholders. Represent the organization in making presentations before internal and external committees, boards, commissions, and/or other governmental organizations. Perform other projects as assigned by the Divisional General Counsel. Must have expertise in one or more practice areas relevant to the business; i.e., public utility laws and regulations, corporate and commercial transactions such as mergers and acquisitions and other business development transactions, litigation, real estate transactions, environmental, and administrative law. Must have Juris Doctorate from an accredited law school. Should have 7-10 years of experience as a licensed, practicing attorney with strong corporate and commercial experience desired. Must be Licensed to practice in one or more states where the business unit currently conducts business.
