Corporate Counsel The candidate assist the Assistant General Counsel with labor and employment matters, specifically identifying legal requirements, emerging trends and recurring issues, and develop strategies to minimize legal liability. The Corporate Counsel will also assist the Assistant General Counsel in advising Hillenbrand and its global subsidiaries on a broad range of legal matters, including negotiation and drafting of commercial contracts, litigation management, data privacy and information security issues, e-commerce, real estate matters, and intellectual property portfolio management. Assess nuanced risks in the context of business objectives and provide clear, actionable advice to management and other stakeholders on a wide range of matters, with a focus on labor and employment issues, to protect the organizations reputation, business, and legal interests. Collaborate with Human Resources and other stakeholders to develop, review and revise as required, company policies and procedures. Flexibility and willingness to work on a broad variety of legal matters and provide substantive support for the Assistant General Counsel on an as-needed basis. Conduct internal investigations on labor and employment matters, as well and investigate and respond to administrative charges. Conduct legal research and analysis as necessary. Develop, conduct and/or oversee employee training as needed on relevant issues. Anticipate and mitigate potential legal problems within the organization, and develop strategies to avoid litigation and reduce potential areas of risk. Participate on cross-functional teams in compliance and company initiatives. Participate in due diligence with respect to mergers and acquisitions. Select, manage and oversee outside counsel who represent the company on labor and employment matters. Review and approve discovery documents, litigation pleadings, motions and briefs prepared by counsel. Attend depositions, mediations, conferences, trials and meetings with regulators as necessary. Assist with initiatives to strengthen the legal department and business operations through systems improvements and the preparation, implementation and refinement of forms, processes, and procedures.

The candidate should have J.D. from an accredited U.S. law school with excellent academic credentials and references. Bar admission and active license to practice law in at least one state is required. Should have 5 years of relevant legal experience required, preferably a combination as an attorney in a law firm and as an in-house counsel in a global public company. Preferred experience in commercial contract negotiation and drafting with ability to advise on risks and liabilities of transactions, and devise creative and practical legal solutions to meet business objectives is preferred. Sound judgment and ability to analyze situations and information is desired. Proven experience interacting with all levels of corporate management is desired. Ability to adapt to changing priorities is preferred . Should have excellent analytical and problem-solving skills,
