Senior Counsel, Corporate & Securities Responsibilities: Working closely with the companys finance department, be responsible for all SEC reporting and compliance activities, including, but not limited to, the preparation and filing of Forms 8-K, 10-Q, and 10-K, annual reports, proxy statements, registration statements, and Section 16 reports; Prepare and monitor the administration of individual and corporate 10b5-1 trading plans; Deliver Rule 144 clearance opinions; Working closely with the companys investor relations department, assist with the preparation and review of all press releases, earnings call scripts, investor presentations, marketing materials, internal information provided in response to media requests, and corporate website content for SEC, NASD, and general corporate governance compliance; Act as primary corporate liaison with the companys transfer agent; Assist with management of the companys equity compensation programs; Assist with M&A transactions Assist with management of corporate governance matters; Provide legal analysis and prepare presentations, reports, research memoranda, etc.; and Perform other corporate duties as assigned. Qualifications: Law degree from top-tier law school. Current state bar membership. 3-5+ years related experience at a law firm or in a corporate law department. Experience advising U.S. multinational corporations. Experience with matters related to intellectual property rights (IPR), particularly patents, preferred but not required. Must have strong communication skills. Ability to read, analyze and interpret legal documents. Ability to respond effectively and persuasively (verbally and in writing) on behalf of the company, and to common inquiries or complaints from customers, regulatory agencies, or members of the business community. Ability to define problems, collect data, establish facts, and draw valid conclusions. Word processing, spreadsheets, Internet software, e-mail, database software.
