Compliance Counsel The candidate will be rendering legal advice that promotes effective and efficient achievement of operational business goals while balancing risk and minimizing potential legal liability. Will be providing legal representation, advice, counsel, and opinions in all areas of law affecting NAHC focusing on compliance, trade compliance, labor and employment and policies and procedures. Regularly interfacing with and advising the Senior Counsel and executive management of potential risks in compliance, contractual, financial and legal areas and propose risk mitigation strategies. Managing the compliance responsibilities for Nidec Corporations businesses in the Western Hemisphere, including drafting and review of policies and procedures, leading internal investigations and providing training to the various businesses. Drafting, reviewing and negotiating foreign and domestic legal agreements and assisting with various corporate transactions for the businesses of the ACIM group and Nidec Americas companies, such as purchase and sales agreements, terms and conditions, consignment agreements, distribution and sales representative agreements, lease agreement, software license and escrow agreements. Serving as primary liaison between Human Resources and the law department with the goal of ensuring continuous development and improvement in the companies processes and practices. Reviewing and drafting correspondence with employees, customers and other outside parties. Helping select and/or directing the work of outside counsel, defining project objectives, managing such projects and managing budgets. Assisting with key initiatives and activities related to compliance and trade compliance. Providing training to management and employees on legal matters and changes in domestic and foreign laws that could impact the businesses of the ACIM Group and Nidec Americas companies. Resolving routine and moderately complex to complex legal matters with minimal supervision. Assisting with M&A and other corporate transactions as needed. Contributing in the creation, development and implementation of processes, procedures, best practices, systems and controls within the Law Department. Studies Constitution, statutes, decisions, and ordinances of quasi-judicial and judicial bodies. May directly supervise one to two employees in the Law Department. Carries out supervisory responsibilities in accordance with NAHCs policies and applicable laws. Responsibilities include interviewing, hiring, and training employee; planning, assigning, and directing work; appraising performance; rewarding and disciplining employee; addressing complaints and resolving problems.

The candidate should have Bachelor's degree, J.D. degree. Admission to a State Bar (with expectation to also gain timely admission to the Missouri Bar) is essential. Must have 5+years experience in compliance, with significant time devoted to advice and counseling, with highly-rated law firm and/or major corporation. Conversant in a broad range of legal issues. Maturity and strong leadership skill is essential.
